Joint ventures, partnerships and other collaborative structures are an important strategic aspect of many of our clients’ businesses.

We advise Irish and international companies on joint venture structures, from the most straightforward to the most complex, on partnership arrangements and on other strategic alliance structures.  We work closely with our clients in devising and implementing structures that are designed to meet expectations, facilitate the smooth running of alliances and provide a clear path for solutions if issues arise.  Input from our financing, tax and employment colleagues has helped us to identify and implement the optimum structures for some of the most successful joint ventures entered into by Irish companies.

Our expertise in advising on these structures is combined with our sectoral expertise in areas such as IT, technology, media, pharmaceuticals, energy, and healthcare, enabling us to deliver the most effective advice in the structuring and drafting of joint venture and other alliance documentation.

Recent work includes advising:

Atlantic Fuel Company in respect of the joint venture for the construction and operation of a €30m deep water oil terminal with the capacity to supply 15% of the country’s fuel requirements based in Foynes, Co. Limerick. 

Metro, the freesheet joint venture between The Irish Times, Associated Newspapers and Independent News & Media;

University of Pittsburgh Medical Centre on shareholder arrangements relating to its investment in Beacon Medical Group and in other private co-location hospitals to be built in Ireland;

DCC plc on its UK joint venture, DCC Environmental Britain Limited;

Statoil ASA on its joint venture oil terminal in Derry with Lissan Coal; and

Treasury Holdings on its joint venture arrangements with Drogheda Port for Bremore Port.
